Delivery Solutions, a company that operates under the Sameday courier brand and is part of the Dante International group, the company behind eMAG, increased the capital of its subsidiary Delivery Solutions International by over 62 million lei, through a cash contribution and through the conversion of a debt, according to a decision of the associates dated August 5, 2025, published in the Official Gazette. The capital of Delivery Solutions International increased from 12.05 million lei to 20.83 million lei, while the total issue premium was 53.28 million lei. «The increases are made with the issue premium paid in full by the associate Delivery Solutions SA, in the amount of 53,283,099 lei», the document states. The first component of the increase, in the amount of 28.3 million lei, was made through a cash contribution. Delivery Solutions SA subscribed 402,929 new shares, at a nominal value of 10 lei each and an issue premium of 60.23 lei per share. The second component involved the conversion into the share capital of a claim of 33.76 million lei, originating from a loan agreement from May 2024. «The associates decide to increase the share capital of the company and by converting the claim in the total amount of 33,763,729 lei into shares of the company, a claim that comes from the loan agreement», according to the decision. The debt consisted of 32.2 million lei principal and 1.56 million lei interest. The second associate, Radoslav Krumov, a Bulgarian citizen who is the CEO of Sameday Bulgaria according to his LinkedIn profile, «expressly and irrevocably waives his pre-emptive right to the share capital increase, he will not subscribe to any new share», the document states. Following the increases, Krumov's stake was diluted from approximately 8.3% to 4.8%, while Delivery Solutions SA consolidated its control from approximately 91.7% to 95.2%. The August 2025 capital increase adds to a series of investments made by the eMAG group in the Sameday operations. Dante International previously injected over 200 million lei into Delivery Solutions SA through successive capital increases, according to a previous ZF article. Lucian Baltaru, the president of the board of directors of Delivery Solutions International, was authorized to complete the necessary formalities at the Trade Registry. Delivery Solutions SA reported in 2024 business of 1.19 billion lei and an average number of 1,326 employees.
